Part A — General Provisions

1. Scope

These GTC apply to all purchase contracts concluded via the online shops of Badertscher Tool AG.

The buyer's own general terms and conditions do not form part of the contract.

Badertscher Tool AG distinguishes between private customers and commercial customers.

2. Formation of Contract

The presentation of products in the online shop does not constitute a binding offer but an invitation to order.

By submitting an order, the buyer makes a binding purchase offer. The contract is concluded with the order confirmation by email or at the latest with delivery.

The seller reserves the right to decline orders without stating reasons.

3. Prices & Payment

All prices are in Swiss francs (CHF) including VAT. Shipping costs are shown separately.

Payment is made via the payment methods available in the shop.

In the event of default, default interest pursuant to Art. 104 CO is due.

4. Delivery & Shipping

Badertscher Tool AG delivers exclusively to Switzerland and Liechtenstein.

For orders of CHF 500.– or more, delivery is free of charge. Below this amount, a shipping fee is charged.

Deliveries are generally made by DHL. Items 30 kg+ by truck. Risk passes to the buyer on handover to the carrier.

5. Retention of Title

The delivered goods remain the property of Badertscher Tool AG until full payment of the purchase price.


Part B — Voluntary Right of Return
Important Notice

Swiss law (CO) does not provide a statutory right of withdrawal for online purchases. The right of return described below is a voluntary goodwill service of Badertscher Tool AG.

It does not constitute a legal entitlement and may be restricted or withdrawn at any time.

6. Voluntary Right of Return

Badertscher Tool AG grants private customers the right to return stock items without reason within 8 days of receipt.

Return can be declared by:

  • Email to mail@b-tool.ch
  • Post to our address
  • Returning the goods within the deadline — at the customer's risk and expense
Start of deadline: The 8-day period begins the day after provable receipt. Dispatch within the deadline is sufficient (postmark).

Please ensure the parcel is sufficiently franked. Unfranked consignments will not be accepted.

8. Condition of Returned Goods

You may inspect goods as you would in a shop. Use beyond this entitles a deduction.

  • Unused, unworn, unwashed, free of signs of use
  • In original packaging with intact labels
  • Complete (incl. accessories and documentation)
  • Regular stock item (no special or custom order)

9. Excluded Items

  • Custom-made items (special sizes, Flexi-Color, etc.)
  • Personalised items (printed, embroidered)
  • Underwear, thermals, t-shirts, socks
  • Sale items and end-of-line articles
  • Already used, worn or washed goods
  • Unsealed digital media
  • Newspapers and periodicals
  • Perishable goods

10. Refund

After inspection, refund of the purchase price within a reasonable period via the same payment method.

Original shipping costs and return costs are not refunded.

Note: The voluntary right of return applies exclusively to private customers.

Part C — Statutory Warranty & Manufacturer's Guarantee

11. Statutory Warranty – Basis

The statutory warranty is governed by Swiss CO, Art. 197–210.

13. Warranty for Private Customers

  • Period: 2 years (Art. 210 para. 1 CO) — cannot be reduced.
  • Reversal: Defects within 6 months presumed to exist at delivery.
  • Notification: Report in writing within a reasonable time.
  • Rights: Repair or replacement; if unsuccessful: reduction or rescission.
Note: Warranty applies to defects present at delivery. Damage from improper use excluded.

14. Warranty for Commercial Customers (B2B)

  • Period: 1 year from delivery (contractually reduced).
  • Immediate duty to notify (Art. 201 CO): Inspect on receipt, report immediately. Late notification = loss of rights.
  • Rights: Repair or replacement at Badertscher Tool AG's discretion.
  • Burden of proof: Buyer must prove defect existed at delivery.
Important: Document visible defects and transport damage with the carrier and report immediately.

15. Manufacturer's Guarantee

  • Granted directly by the manufacturer (e.g. Milwaukee, Hultafors, Snickers Workwear).
  • Supplements the statutory warranty without restricting it.
  • Claims can be made directly with the manufacturer or via Badertscher Tool AG.
  • See guarantee documents or manufacturer's website for scope and duration.

16. Asserting Warranty Claims

Part D — Other Provisions

17. Limitation of Liability

Badertscher Tool AG is liable only for intent or gross negligence. Liability for slight negligence is excluded to the extent legally permissible.

No liability for indirect, consequential damages or loss of profit.

18. Data Protection

The collection and processing of your personal data is carried out in accordance with our privacy policy, available in each online shop.

19. Applicable Law & Jurisdiction

These GTC and all contracts are subject exclusively to Swiss law, excluding the CISG.

For commercial customers: exclusive jurisdiction in Bern, Switzerland. For private customers: statutory jurisdiction under Swiss CPC.

20. Final Provisions

If individual provisions are invalid, the remaining provisions continue to apply.

Badertscher Tool AG reserves the right to amend these GTC at any time. The version published at the time of ordering applies.
